Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Bellamonte Professional (the legal entity V.P. Distribution, “Bellamonte,” “we,” “our,” or “us”), governing your use of bellamontepro.com, our online ordering portal, and any related communications, notifications, or text-message programs (collectively, the “Services”).

By creating an account, placing an order, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

The Services are intended exclusively for licensed beauty professionals, salon owners, and the staff they authorize to order on their behalf. By using the Services you represent that:

• You are at least 18 years old.
• You hold a valid cosmetology, barbering, or equivalent license, or you operate a licensed salon and are ordering for use within that salon.
• You are not purchasing for personal consumer use or for resale to consumers in violation of brand restrictions.
• The information you provide is accurate and you will keep it current.

We may, at our discretion, request proof of license or business registration before activating an account or shipping an order.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at hello@bellamontepro.com if you suspect unauthorized access. We are not liable for losses caused by your failure to safeguard your credentials.

You may add additional staff to your B2B company account. Each authorized staff member acts on the company's behalf and the company is responsible for their orders.

All orders are subject to acceptance and to product availability. We may, at our discretion, refuse or cancel any order, including orders that appear to be for resale to consumers, that violate brand minimum advertised pricing, or that we suspect are fraudulent.

• Pricing: wholesale pricing is shown to signed-in B2B accounts and may differ from any prices shown on public marketing pages. Prices are subject to change without notice; the price in effect when your order is placed governs that order.
• Taxes: applicable sales and use taxes are calculated based on your ship-to address. Resale exemption certificates may be submitted to your sales representative.
• Payment: we accept credit card, ACH, and approved B2B net terms. Net-terms invoices are due according to the terms shown on the invoice; past-due balances may accrue interest at the lesser of 1.5% per month or the maximum permitted by law.
• Order accuracy: verify your order before checkout. We are not responsible for incorrect product or quantity selections after an order has been processed.

We ship to U.S. business addresses. Risk of loss passes to you upon delivery to the carrier. Delivery dates are estimates; we are not liable for carrier delays.

Returns: contact your sales representative within 14 days of delivery to request a return authorization. Eligible returns must be in unopened, unused, resalable condition. A restocking fee may apply. Custom, special-order, and clearance items are non-returnable except for defects. Defective products will be replaced or refunded.

When you provide your mobile number and opt in to receive text messages from Bellamonte Professional (e.g. by checking the SMS consent box at registration, on your account page, or by texting a published keyword), you agree to receive recurring transactional and promotional text messages from us at the number you provided. Consent to receive SMS is not a condition of any purchase.

• Program description: messages may include order confirmations, shipping updates, invoice and payment reminders, special offers, new product announcements, and replenishment reminders.
• Message frequency: message frequency varies based on your account activity and the programs you have subscribed to. You may receive up to ten (10) promotional messages per month, plus order-related transactional messages as needed.
• Message and data rates may apply. Standard rates from your wireless carrier apply. Bellamonte does not charge for the messages themselves.
• Opting out: reply STOP to any message to opt out of further SMS communications. After you reply STOP we will send one final confirmation that you have been unsubscribed and you will receive no further messages from that program.
• Help: reply HELP at any time for assistance, or contact us at hello@bellamontepro.com or (515) 276-4700.
• Supported carriers: messages may not be deliverable to all wireless carriers. We are not liable for undelivered or delayed messages.
• Privacy: mobile numbers and SMS consent records are handled in accordance with our Privacy Policy and are not shared with third parties or affiliates for their marketing or promotional purposes.
• Eligibility: SMS messaging is intended for U.S. residents 18 years of age or older.

You agree not to:

• Use the Services in violation of any law or third-party right.
• Resell our products to consumers in violation of brand sales restrictions.
• Reverse-engineer, scrape, copy, or attempt to extract the source code of the Services.
• Interfere with the Services, attempt to access another customer's account, or upload malicious code.
• Use the Services to send spam or unauthorized commercial messages.

The Services, including the website design, photography, text, and software, are owned by Bellamonte Professional or licensed from our brand partners and are protected by copyright, trademark, and other intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services for the purpose of ordering products from us. All other rights are reserved.

Brand names, logos, and product images are trademarks of their respective owners (Artégo®, Vieso®, Malina® and others). Use of these marks is governed by the brand owners' trademark policies.

The Services and the products are provided “as is” and “as available” without warranty of any kind, express or implied. To the fullest extent permitted by law, Bellamonte disclaims all warranties, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Product information, ingredient lists, safety data sheets, and usage instructions are provided by the manufacturer. You are responsible for verifying suitability for your clients and for performing required patch tests and consultations before use.

To the fullest extent permitted by law, Bellamonte's total liability for any claim arising out of or relating to the Services or the products is limited to the amount you paid to us for the order giving rise to the claim. In no event will Bellamonte be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

You agree to defend, indemnify, and hold harmless Bellamonte Professional (V.P. Distribution) and its officers, directors, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of or related to your breach of these Terms, your use of the Services, or your use or resale of products.

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including suspected violation of these Terms, fraudulent activity, past-due balances, or expiration of required licensing.

You may close your account at any time by contacting us. The sections of these Terms that by their nature should survive termination (e.g. payment obligations, intellectual property, disclaimers, liability, indemnification, governing law) will survive.

These Terms are governed by the laws of the State of Iowa, United States, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services that is not resolved informally will be brought exclusively in the state or federal courts located in Polk County, Iowa, and you consent to the personal jurisdiction of those courts.

We may update these Terms from time to time. The effective date at the top of this page shows the most recent revision. If we make material changes, we will notify you by email or by a prominent notice in your dashboard. Your continued use of the Services after a change takes effect constitutes acceptance of the revised Terms.
